Coherent Inc. acquires DeMaria ElectroOptics Systems

Santa Clara, Calif. – In a transaction completed April 11, 2001, Coherent Inc. (Santa Clara, CA) (Nasdaq:COHR) acquired DeMaria ElectroOptics Systems Inc. (DEOS) (Bloomfield, Conn.) for $22.5 million in cash.

DEOS, renamed COHERENT/DEOS, designs and manufactures carbon-dioxide lasers used in materials processing, electronics packaging, and research applications. This acquisition further enhances Coherent's CO2 laser portfolio, making the company the only manufacturer to offer a line of sealed CO2 lasers ranging in power from 25 to 500 watts.

Coherent's interest in the acquisition stemmed from several factors, including DEOS' accomplished engineering and development staffs, a reliable product line of 25W to 100W commercial CO2 lasers, and its commitment to operational excellence.

In addition, DEOS' substantial intellectual property portfolio includes a number of unique technologies that could lead to new products beneficial to Coherent's key markets. One such technology is a Q-switched CO2 laser, complementary to Coherent's other high peak power options, and ideal for laser drilling and micro machining applications.

"DEOS has an excellent engineering group that's developed some unique products, as well as a laser portfolio that fits very well with our current product line," said Stephen Lee, product line manager for Coherent's CO2 laser systems. "By adding the COHERENT/DEOS LC-Series, renamed GEM, to our DIAMOND lasers, we are able to provide customers with an unparalleled range of solutions for a very broad range of applications. In fact, we are now the only manufacturer to offer a range of sealed CO2 lasers that extends from 25W to 500W."

According to John Ambroseo, executive vice-president of Coherent, "Since the DEOS product lines are complementary to ours, this acquisition will enable us to extend the relationships we've established with key customers and within strategic markets."

He added, "Their development as a commercial laser supplier has also been very impressive. They have consistently produced compact, reliable lasers while maintaining their commitment to research and development. And DEOS has successfully parlayed several development contracts, such as a space-borne laser local oscillator (scheduled for deployment in 2003) into robust OEM products within the past five years."

Now a member of the Coherent Photonics Group, COHERENT/DEOS will continue to operate from its base in Connecticut. The founders, who have driven the company's technological and operational developments, have agreed to multi-year employment contracts with Coherent.

Founded in 1966, Coherent, Inc. is a Standard & Poor's SmallCap 600 company and a world leader in providing photonics-based solutions to the commercial, scientific, medical, and telecom markets.
